By using IPONOVA, you agree to these terms.

These Terms of Use ("Terms") govern your access to and use of iponova.in (the "Site") operated by IPONOVA ("we", "us", "our"). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, please do not use the Site.

1. Eligibility

You must be at least 18 years old and legally capable of entering into a binding agreement under Indian law to use IPONOVA. By using the Site, you represent that you meet this requirement.

2. Nature of the Service

IPONOVA is an information and tracking platform for IPOs and share buybacks in India. We do not:

Provide investment advice or recommendations
Execute trades or hold securities on your behalf
Operate as a stock broker, sub-broker, or research analyst
Hold any SEBI registration as an advisor or intermediary

3. Permitted Use

You may use IPONOVA for personal, non-commercial purposes. You agree to:

Use the Site only for lawful purposes
Provide accurate information when registering or contacting us
Keep your login credentials confidential
Comply with all applicable Indian laws and regulations

4. Prohibited Use

You agree not to:

Scrape, crawl, or extract bulk data from the Site without written permission
Reverse-engineer, decompile, or attempt to access source code
Use automated tools, bots, or scripts to interact with the Site (other than legitimate search-engine crawlers)
Bypass rate limits, OTP checks, or other security mechanisms
Submit false, misleading, or impersonating information
Use the Site to harass, defame, or harm any person or business
Republish or redistribute IPONOVA content as your own
Use the Site to send spam, malware, or any harmful code

5. Intellectual Property

All content on IPONOVA — including the layout, branding, logo, calculators, code, text, graphics, and compilation of data — is owned by us or our licensors and is protected by Indian and international copyright laws.

Raw market data (such as IPO names, prices, dates, and exchange filings) is publicly available regulatory information and is not our property; however, our compilation, presentation, and curation of that data is protected.

You may not copy, modify, distribute, or commercially exploit any part of the Site without our written permission.

6. User Accounts

To access certain features (e.g. alerts, saved IPOs), you may need to create an account using your mobile number and OTP verification. You are responsible for:

Maintaining the confidentiality of your account
All activities that occur under your account
Notifying us immediately of any unauthorised use

7. Data Accuracy & Service Availability

We strive to keep IPO and buyback data accurate, but we make no warranty that the information is complete, error-free, or current. The Site is provided "as is" and "as available". We do not guarantee uninterrupted service and may suspend or modify any feature at any time.

Always verify critical information (such as allotment status, price band, dates, and offer terms) directly with the official offer document, registrar, or exchange before making any decision.

8. Third-Party Links & Services

The Site may contain links to third-party websites (registrars, exchanges, brokers, news sources). We are not responsible for the content, accuracy, or practices of those third parties. Visiting external links is at your own risk.

9. Limitation of Liability

To the maximum extent permitted by law, IPONOVA, its operators, employees, contributors, and licensors shall not be liable for any direct, indirect, incidental, consequential, special, or punitive damages — including loss of profit, loss of investment, loss of data, or any other intangible loss — arising from:

Your use of, or inability to use, the Site
Any reliance on data, calculations, or analysis shown on the Site
Investment decisions made based on Site content
Errors, omissions, delays, or interruptions in service
Unauthorised access to your account

Our total aggregate liability for any claim arising from these Terms shall not exceed ₹1,000.

10. Indemnification

You agree to indemnify and hold IPONOVA harmless from any claim, loss, damage, liability, or expense (including reasonable legal fees) arising from your breach of these Terms, your misuse of the Site, or your violation of any law or third-party right.

11. Termination

We reserve the right to suspend or terminate your access to the Site, with or without notice, if we reasonably believe you have violated these Terms or engaged in activity that could harm the Site, other users, or third parties.

12. Modifications to the Service

We may modify, add, or remove features at any time without notice. We may also update these Terms — material changes will be flagged on the Site, and continued use after changes constitutes acceptance.

13. Governing Law & Jurisdiction

These Terms are governed by the laws of India. Any dispute arising from these Terms or your use of the Site shall be subject to the exclusive jurisdiction of the courts of India.

14. Privacy

Your use of the Site is also governed by our Privacy Policy, which forms part of these Terms.

15. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
